Allgemeine Geschäftsbedingungen (AGB)

1. Scope of Application

These General Terms and Conditions (AGB) apply to all business relationships between it-neX Software GmbH (hereinafter "we" or "Provider") and our customers (hereinafter "Customer"). The Customer's terms and conditions are hereby rejected unless their validity has been expressly agreed to in writing.

2. Services

We provide software solutions for maintenance management (CMMS), including but not limited to:

  • MaintMan - On-Premise CMMS Software
  • MaintCloud - Cloud-based CMMS Solution
  • MaintMobile - Mobile Maintenance Applications
  • MaintRequest - Maintenance Request System
  • MaintControl - Visual Monitoring and Dashboards

3. License and Usage Rights

Upon full payment of the agreed license fee, the Customer receives a non-exclusive, non-transferable right to use the software within the scope of the agreed contract. The scope of the usage right is determined by the respective license agreement.

4. Support and Maintenance

Support and maintenance services are provided according to the agreed service level agreement (SLA). Standard support includes:

  • Technical support during business hours (Monday-Friday, 8:00-17:00)
  • Software updates and security patches
  • Access to knowledge base and documentation

5. Prices and Payment

All prices are net prices and are subject to the applicable statutory value-added tax. Payment is due within 30 days of the invoice date unless otherwise agreed. In the event of default in payment, we reserve the right to charge default interest at the statutory rate.

6. Data Protection

We process personal data in accordance with the applicable data protection regulations, in particular the GDPR. Details can be found in our Privacy Policy.

7. Warranty and Liability

We warrant that the software is free from defects at the time of delivery. In the event of defects, we will remedy them within a reasonable period. Liability for damages is limited to intent and gross negligence, except in cases of injury to life, body, or health.

8. Confidentiality

Both parties undertake to treat all confidential information received in connection with the business relationship as confidential and not to disclose it to third parties without prior written consent.

9. Term and Termination

The term of the contract is determined by the individual agreement. Unless otherwise agreed, subscription-based services can be terminated with a notice period of three months to the end of the contract year.

10. Final Provisions

The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The place of jurisdiction for all disputes arising from this contractual relationship is Heilbronn, provided the customer is a merchant, a legal entity under public law, or a special fund under public law.
